DORSETT MELBOURNE RESERVATION GENERAL TERMS AND CONDITIONS 

In these general terms and conditions (hereinafter, the ‘General Terms and Conditions’), ‘Dorsett Hotels’ means any hotel and resort properties owned and/or operated by Dorsett Hospitality International Limited and/or its affiliates.

These General Terms and Conditions govern the Dorsett reservations website (hereinafter, the ‘Website’) and apply to all reservations of services at Dorsett Hotels. 

By accessing the Website, the Customer agrees to accept, without limitation or criterion, all of these General Terms and Conditions. Please read them carefully. If the Customer does not agree to these General Terms and Conditions, he/she should immediately exit the Website.

1.    PREAMBLE 

All reservations made at Dorsett Hotels are made subject to these General Terms and Conditions and the Customer will be deemed to have accepted these General Terms and Conditions on behalf of all persons who will be staying or using the facilities at the relevant Dorsett Hotel under the reservation (once the reservation is accepted and confirmed by Dorsett Hotels). 

For reservations made via a travel agent, or other third party, the Customer has a separate legal relationship with that party and Dorsett Hotels has no liability for any acts or omissions of such party including their observance of data protection rights. 

Dorsett Hotels reserves the right to modify or supplement, at any time, all or part of these General Terms and Conditions. In this case, the new version of the General Terms and Conditions will be available on the Website with the effective date. Customers are advised to regularly consult the General Terms and Conditions to be aware of any changes. In any case, the Customer will only be bound by the version of the General Terms and Conditions in force at the time that the Customer makes the reservation on the Website. 

The Customer assumes the exclusive responsibility of paying, if necessary, for all the technical means necessary to gain access to the Website. 

2.    DESCRIPTION OF THE SERVICES 

2.1.    SERVICES 

Dorsett Hotels offers (i) reservation services for hotel rooms (‘Accommodation Services’) and (ii) services complementary to such Accommodation Services (‘Complementary Services’) on its Website (hereinafter, collectively, the ‘Services’). 

2.2.    ACCOMODATION SERVICES 

The essential characteristics, availability dates, price, options offered, payment conditions and particular conditions of sale applicable to the selected rate (guarantee policies, cancellation conditions, check-in time, member rate conditions, etc.) of a Dorsett Hotel are presented during the reservation process on the Website. 

In this respect, it is noted that each Dorsett Hotel has its own special terms and conditions applicable to the selected rate also available on the Website (hereinafter, the ‘Special Conditions’) which are brought to the attention of the Customer prior to any reservation on the Website. The special terms and conditions may include, but are not limited to, check-in and check-out times, guarantee policy, cancellation period, Wi-Fi access and special conditions applicable to children.

2.3.    COMPLEMENTARY SERVICES 

The Website also allows the reservation of Complementary Services, which may include, but are not limited to breakfast or the upgrade of Accommodation Services. 

2.4.    PARTNER SERVICES 

Dorsett Hotels enters into partnership and distribution agreements with third parties (hereinafter, the ‘Partners’) which allows Customers to search for, select and reserve rooms in Dorsett Hotels on the online travel website of the Partner (hereinafter, the ‘Partner Services’). 

The terms and conditions of sale applicable to those Partner Services are available on the Partner’s website. Dorsett Hotels is not responsible for the condition or the content of the Partner's website.  The presence of links does not amount, expressly or impliedly, to any endorsement of those websites or the products or services provided there. The Customer's access to third party websites and use of their products or services is solely at the Customer's own risk.  When accessing third party websites, the Customer should read the terms and conditions applying to the use of those websites.

Nothing in these General Terms and Conditions, or the Website, grants or should be interpreted as granting any licence or other right for the Customer to use the content on third party websites. Without limitation to these General Terms and Conditions, by using the Website to access third party websites, the Customer expressly releases and indemnifies Dorsett Hotels from any and all liability arising from the Customer's access or use of any third party website.

3.    RATES AND PAYMENT
 
3.1.    RATES 

The rates related to the reservation of any Services are quoted on the Website in the currency of the relevant Dorsett Hotel. 

For Accommodation Services, the rates shown are per room for the number of people and date selected. Any alterations to these details may affect the nightly rate charged. 

When confirming the reservation of a Service, the total price is indicated to the Customer inclusive of all applicable taxes. Reservations and prices are subject to availability and blackout/special event periods may apply.  

Members of the Dorsett Hotels loyalty program may use their points to book all or part of an eligible Service on the Website according to the General Conditions of Use described in the loyalty programme https://www.dorsett-yourrewards.com/tnc. 

If the payment of the total price of the booked Service is made at the relevant Dorsett Hotel in a currency other than that confirmed on the reservation, the currency exchange costs are the responsibility of the Customer. Note that if a conversion of the currency confirmed on the reservation into any other currency appears on the Website, it is given only for informational purposes and is not contractual, especially given the possible change of exchange rates between the reservation date and the dates of stay at the relevant Dorsett Hotel. 

Unless otherwise stated on the Website, the options (for example, breakfast, half-board, full-board etc.) that are not offered during the reservation of the Service are not included in the price. 

Any modification or introduction of new legal or regulatory fees imposed by any relevant governmental authorities will automatically be reflected in the price indicated on the billing date. 

Finally, some promotional offers are exclusive to reservations made via the Website and in no case are available at the reception of the Dorsett Hotel. 

3.2.    GUARANTEED RESERVATIONS 

Online reservations require a valid credit card number to guarantee the reservation. The Customer’s card will not be charged in advance, unless stated on the rate at the time of reservation and will be held as security for the reservation and utilised for any applicable cancellation or non-arrival fees. Unless an alternative valid card or method of payment is provided upon check-out, this card will be used for all outstanding costs and for any loss or damage to the room during the stay. Advance purchase or prepaid rates will be charged at the time of the reservation, as marked on the rate description. 

3.3.    RESERVATION PROCESS 

Upon completion of the reservation process on the Website, Dorsett Hotels will transmit an online or email confirmation of the reservation to the Customer. A reservation is only valid when a reservation number has been issued. Details specific to a reservation must be confirmed by the Customer directly with the relevant Dorsett Hotel, including, for example, airport pick up and drop off times. 

3.4.    RATE/RESERVATION VALIDITY 

Reservation confirmations are provided solely for the Customer’s convenience. Dorsett Hotels retains official records of reservation transactions, including details of dates of stay and room, product and Service rates. In the event of discrepancies, alterations, modifications, or variations between the confirmation received by the Customer and Dorsett Hotels’ official records, the latter shall prevail. Tampering with this confirmation to alter any room, product or Service rate or any other reservation information is strictly prohibited and will have legal consequences. 

3.5.    PAYMENT  

3.5.1.    At check-in

If the Customer has not pre-paid for his/her stay online, the Hotel may, upon arrival of the Customer, ask the Customer for a deposit or an authorisation to debit a credit card to guarantee payment of the sums corresponding to the reservation. The relevant Dorsett Hotel may also ask the Customer to present an identification document for the purpose of credit card fraud prevention including but not limited to photographic identification. If the Customer is unable to provide such identification, the reservation may be cancelled and the Customer may be liable to pay the relevant Dorsett Hotel an amount equal to the full reservation amount plus any other costs incurred by the relevant Dorsett Hotel in connection with the reservation.

3.5.2.    Upon check-out

Payments by credit card will incur a transaction fee reflecting bank charges incurred by Dorsett Hotels for card payments. Such transaction fees are subject to change, and applicable fees will be confirmed upon check-in. Payments by cash do not incur transaction fees and Customers may elect to change their payment methods to such option to avoid the transaction fees. 

Any credit card information provided by the Customer will only be kept by Dorsett Hotels’ payment service provider as part of a strict security policy for banking information. 

4.    RESERVATION AMENDMENTS AND CANCELLATIONS

For each reservation of a Service, the Special Conditions specify the conditions to cancel and/or amend the reservation. 

Reservations with prepayment will not be subject to any amendments and/or cancellations. The deposit (money paid in advance) will not be reimbursed. This is noted in the Special Conditions.  

In the event of an interruption of a Service by the Customer, the entire agreed-upon price will be charged. No refund will be granted in the event of a reservation with pre-payment prior to the stay. 

In the case of an Accommodation Service, unless otherwise expressly stipulated in the Special Conditions, the Customer must leave the room of the relevant Dorsett Hotel before the check-out time indicated in the Special Conditions. Otherwise, the Customer may be charged for an additional night. 

Some Dorsett Hotels may have an early departure penalty fee and some room, product and Service rates may also require a minimum stay. The Customer may change their check-out date without a penalty only if the rate and Special Conditions permits. 

5.    MINORS 

At all Dorsett Hotels, minors (as defined in the jurisdiction in which the relevant Dorsett Hotel is located) must be accompanied by a responsible adult.

Children under the age of 12 years using existing bedding can stay at no additional charge in the room with guardians/parents. 

6.    FACILITIES AND SERVICES 

Whilst care is taken to ensure that the description of the relevant Dorsett Hotel facilities and services is accurate, these are continually being changed, upgraded, and on occasion taken out of service. If any feature or facility is essential to the Customer, the Customer is responsible for confirming with the relevant Dorsett Hotel prior to making a reservation that the feature or facility will be available during their stay or use of the services. 

To the extent permitted by law, Dorsett Hotels is not liable for omissions, errors or changes to the facilities and services at a Dorsett Hotel, whether temporary or permanent. 

Accommodation facilities listed on the Website may not apply to all room types. 

7.    TRAVEL DESTINATIONS

Travel to certain destinations may involve greater risk than others. The Customer should review travel prohibitions, warnings, announcements and advisories issued by their government prior to booking travel to international destinations. Dorsett Hotels does not represent or warrant that travel to, or accommodation in, destinations where Services are offered via the Website is advisable or without risk and is not liable for damages or losses that may result from travel to, or staying in, such destinations to the fullest extent permitted by law.

8.    THIRD PARTY PRODUCTS AND SERVICES 

From time to time, Dorsett may include third party products or services in special packages. Dorsett Hotels is not liable under any circumstances for any failure by third party providers to provide products or services, nor for any error, alteration or change made by those third-party providers following acceptance of a reservation by them. 

All third-party coupons, vouchers, receipts and tickets are issued subject to the terms and conditions specified by those third parties. 

Dorsett Hotels does not warrant the accuracy of any information, statements or representations made by third parties and is not liable for any act or omission, default or negligence of any third-party provider.

9.    FORCE MAJEURE

Dorsett Hotels is not liable to the Customer in the event of the non-fulfilment of its obligations resulting from a force majeure event. It is expressly agreed that a force majeure event suspends the performance of Dorsett Hotels’ obligations, but Dorsett Hotels will take reasonable steps to mitigate the effects of a force majeure event. The events that are considered as force majeure include but are not limited to acts of war, terrorist attack, threat of terrorist attack, health epidemic or pandemic, quarantine restrictions or other public health restrictions, advisories or alerts which have a substantial impact on the tourist and hotel industry in the geographical market in which the relevant Dorsett Hotel operates, strike, insurrection, lockout, breakdown, civil strife and commotion, labour unrest, order or regulation of or by action of any governmental authority, natural catastrophes, civil disturbance or other emergency or embargoes, sanctions, shortage of materials, water or utilities, or the failure of any applicable government authority to issue any approvals, or the suspension, termination or revocation of any approvals, necessary or required for the operation of the relevant Dorsett Hotel and other events beyond the reasonable control of Dorsett Hotels. If a force majeure event lasts more than thirty (30) days after its occurrence, these General Terms and Conditions may be terminated by Dorsett Hotels without the Customer being able to claim damages.

10.    OBLIGATIONS OF THE CUSTOMER 

The Customer is solely responsible for his/her choice of Services on the Website and their suitability for his/her needs, so that Dorsett Hotels cannot be pursued for liability in this regard.

The Customer is also solely responsible for the information provided when creating his/her account and/or reservation of a Service. Dorsett Hotels cannot be held liable for any erroneous or fraudulent information provided by the Customer. In addition, only the Customer is responsible for the use of his/her account and any reservation made, both on behalf of the Customer and on behalf of third parties, including minors, except to demonstrate fraudulent use arising from no fault or negligence on the part of such Customer. In this respect, the Customer must immediately inform Dorsett Hotels of any hacking or fraudulent use of their email-address. 

The Customer will be liable for all damages caused by him/her and/or his/her guests within the Dorsett Hotel and shall bear all costs arising from such damage and/or failure to comply with the General Terms and Conditions. Dorsett Hotels reserves the right to intervene if necessary and to take any appropriate action against the Customer. 

11.    RELEASE AND INDEMNITY 

Any monies or other valuables, goods or vehicles that belong to the Customer, brought in or on to the relevant Dorsett Hotel grounds, carpark or room, remain the Customer’s responsibility and Dorsett Hotels is not responsible for their safekeeping. 

To the extent permitted by law, the Customer agree to release and hold harmless Dorsett Hotels and its current and former officers, employees and agents against and from all expenses, costs, liabilities, claims, actions, proceedings, damages, judgments and losses of any kind (including consequential and economic losses, property loss/damage and damage for injury, including personal injury and death) arising out of, caused by, attributable to or resulting from a Dorsett Hotel reservation or stay at a Dorsett Hotel for any reason. 

The Customer agrees to indemnify Dorsett Hotels and its current and former officers, employees and agents from all expenses, costs, liabilities, claims, actions, proceedings, damages, judgments and losses of any kind (including consequential and economic losses, property loss and damages and damage for injury, including personal injury and death) incurred or suffered by Dorsett Hotels or its current or former officers, employees or agents arising out of, caused by, attributable to or resulting from a Dorsett Hotel reservation or stay at a Dorsett Hotel except to the extent caused or contributed to by Dorsett Hotels or its current or former officer’s, employee’s or agent’s negligence or wilful misconduct. 

The Website is provided on an 'as is' and 'as available' basis for information purposes only. The Customer agrees that their access to and use of the Website will be at its sole risk. The Customer continually indemnifies Dorsett Hotels and its current and former officers, employees and agents against any claim, action or proceeding that is made, threatened or commenced and against any liability, loss, damage, cost or expense (including legal costs on a full indemnity basis) which any of them incurs or suffers, as a direct or indirect result of any of the following:

(a)    the Customer's use of and access to the Website;
(b)    a breach of these General Terms and Conditions;
(c)    a wilful, unlawful or negligent act or omission by the Customer;
(d)    the Customer's violation of any third party right or law, including (without limitation) any intellectual property rights, defamation or criminal laws;
(e)    a claim that the Customer caused damage to a third party; or
(f)    the Customer's use of any information obtained from or through the Website.

The user of the Website assumes all costs arising as a result of the use of the Website.

12.    INTELLECTUAL PROPERTY RIGHTS 

The content of the Website contains confidential information that is protected by valid, applicable and enforceable intellectual property rights. The Customer agrees that all intellectual property rights (including trade marks, logos, brands, graphics, images, text, software, computer programs, film clips, videos and other media) displayed on or relating to the Website are owned by Dorsett Hotels (or its licensors, sponsors or suppliers). Apart from the personal, non-commercial use of the content of the Website, the Customer agrees to not do any of the following (unless with prior written consent of Dorsett Hotels):

(a)     reproduce, reformat, reuse, transmit (including broadcast), communicate, adapt, distribute, sell, modify, store in a retrieval system or publish or otherwise use any of the material on the Website (including without limitation any underlying source code or other data);
(b)    interfere with, or attempt to interfere with, the proper working of the Website, (including, for example, by making excessive traffic demands on the Website); or
(c)    reproduce Dorsett Hotels’ trade marks or logos on another website. 

The Customer may download and view content or print a copy of material on the Website for his/her personal, non-commercial use, provided that the Customer does not modify the content in any way (including any copyright notice).

13.    COPYRIGHT NOTICE

All material on the Website is protected by copyright under the laws in the jurisdiction of the relevant Dorsett Hotel, and through international treaties and agreements. Unless expressly stated to the contrary, Dorsett Hotels (or its licensors, sponsors or suppliers) owns copyright in all the material on the Website.

14.    TRADE MARKS

The Website includes trade marks.  Without limiting clause 12, the Customer may not use, reproduce or publish any trade marks, except by saving or printing out a copy of any pages from the Website as expressly permitted in these General Terms and Conditions.  Any use of any of the trade marks without the express written consent of Dorsett Hotels (or its licensors, sponsors or suppliers) or the owner of the trade mark (as applicable) is prohibited.

Other registered trade marks may be featured on the Website from time to time and are proprietary to their respective owners and protected by international trade mark or copyright laws.  The use of any such trade mark on the Website is not intended to indicate any association with or endorsement by the owner of that trade mark.

15.    PRIVACY AND PERSONAL DATA PROTECTION 

Dorsett Hotels adheres to the data privacy laws in the jurisdiction of the relevant Dorsett Hotel relating to the collection, use and disclosure of personal data. 

Dorsett Hotels may use a Customer’s personal data for one or more of the following purposes: providing and processing Customer requests, reservations or bookings; providing access to all parts of the Website; direct marketing of products, Services, activities or facilities by Dorsett Hotels and its related entities or business partners (Customers may elect to opt out from receiving any marketing materials); conducting market research, surveys and analysis; processing Customer’s application for, and managing, operating and maintaining membership of the Dorsett Hotels loyalty program; providing Customers with information on the activities and benefits of it; billing and debt collection; dealing with suggestions, enquiries or complaints; communicating with Customers generally; preventing , detecting or investigating suspicious or illegal activities; and meeting legal and regulatory requirements and/or making disclosure when required by any law, court order, direction, code or guideline applicable in the jurisdiction in which the relevant Dorsett Hotel operates. 

The Customer acknowledges that no data transmitted over the internet is secure.  While Dorsett Hotels takes reasonable steps to protect the data that the Customer transmits using the Website, it does not warrant, and cannot ensure, the security of that data.  The Customer transmits data using the Website entirely at the Customer's own risk.

These General Terms and Conditions must be read in conjunction with Dorsett Hotels’ privacy policy. For further information on Dorsett Hotels’ privacy policy, a copy of Dorsett Hotels’ Privacy Policy is available at https://www.dorsett.com/en/privacy-policy.html.

16.     LIMITED LICENCE

Dorsett Hotels grants the Customer a limited, revocable licence to access and use the Website and its content in accordance with these General Terms and Conditions, which apply at any time that the Customer uses the Website.

The Customer may display, print or download the content of the Website on its computer, personal digital assistant (PDA), mobile phone, tablet or other telephonic device for the purposes of information only.  The Customer cannot use the Website or any part of it for any commercial use or for any public display (commercial or non-commercial).

Dorsett Hotels reserves the right to suspend, terminate or otherwise deal with the Customer's limited licence in relation to the Website and its content at any time.

17.    THE CUSTOMER'S USE OF THE WEBSITE

In using the Website the Customer must not:

(a)    distribute all or any part of the Website other than as intended or as agreed by Dorsett Hotels in writing;
(b)    do anything which alters the Website, or interferes with or affects its working other than as intended or as agreed by Dorsett Hotels in writing.  This includes removing anything from it, adding anything to it, linking it to or from another website;
(c)    collect or solicit material about any other person, including email, contact details or login information (including passwords) from the Website;
(d)    attempt to gain unauthorised access to any part of the Website using another person's name, details or password;
(e)    access third party submissions or other content on the Website other than as expressly authorised by Dorsett Hotels and by way of the web pages provided by Dorsett Hotels;
(f)    use the Website or include, list, upload, post or transmit any information or material in any manner or for any purpose containing prohibited content or which is prohibited by these General Terms and Conditions; or
(g)    use or launch any automated system including (without limitation) any offline readers, spiders or robots that access the Website in a way that:
(i)    sends a larger number of request messages to Dorsett Hotels’ servers or to other users of the Website than can reasonably be produced by a human in the same period using a conventional on-line web browser;
(ii)    sends spam to any other user;
(iii)    annoys or harasses any other user;
(iv)    collects or harvests any personally identifiable information;
(v)    stores, permanently downloads or redistributes content from the Website other than as intended or as specifically agreed by Dorsett Hotels in writing;
(vi)    circumvents, disables or otherwise interferes with any security-related features of the Website or contains features that prevent, limit or restrict use or copying of any content from the Website; or
(vii)    transfers the materials to another person or 'mirror' the materials on any other server; or
(h)    create a link to or from the Website or any part of the Website: 
(i)    for commercial use, without Dorsett Hotels’ prior written consent;
(ii)    to or from a website which contains prohibited content; or
(iii)    to or from a website which infringes Dorsett Hotels’ rights or the rights of a third party (including, without limitation, intellectual property rights).

Dorsett Hotels may (but is not obliged to) use, alter, update and monitor the content of the Website, at any time and at its sole discretion.

While Dorsett Hotels invests in security to protect the Website and the integrity of anything the Customer downloads from the Website, given the nature of the internet, Dorsett Hotels does not guarantee the Customer any of the following: 

(a)    that the Customer will have uninterrupted or error-free access to or use of the Website by any method;
(b)    that any loss or damage will not occur as a result of the Customer's access to and use of the Website or any information on the Website or accessed from the Website;
(c)    that the Website or any links will be error-free or free from viruses, faults or defects or that any bugs, viruses, Trojan horses or other corrupting programs will not be transmitted to or through the Website by any third party;
(d)    that the content of the Website is accurate, complete or, to the extent permitted at law, suitable for a particular purpose.  The Customer must rely on its own judgement;
(e)    that there will not be any unauthorised access to or use of Dorsett Hotels’ secure servers which may result in the Customer's personal or financial information being accessed;
(f)    that the Customer's internet or mobile service provider will allow the Customer access to the Website. The Customer is responsible for ensuring its service provider will allow the Customer access to the Website and its content and for any costs and service fees associated with the access; or
(g)    that the Customer's computer, mobile or other hardware devices will allow the Customer access to the Website. The Customer is responsible for ensuring its devices will allow the Customer access to the Website and its content and for any costs and service fees associated with the access. 

18.    DISCLAIMER

To the maximum extent permitted by law, Dorsett Hotels disclaims any and all responsibility and liability in respect of the Website and any loss or damage suffered or incurred by a person for any reason including (without limitation):

(a)    using or relying on any of the information provided in or obtained through the Website; or
(b)    any of the matters referred to in these General Terms and Conditions.

To the maximum extent permitted by law:

(a)    this Website and its contents are provided without any representations or warranties of any kind, either express or implied including, without limitation, any warranties as to the completeness or accuracy of the information provided through the Website;
(b)    Dorsett Hotels disclaims all warranties, express or implied, in connection with the Website and the Customer's access to and use of the Website;
(c)    while Dorsett Hotels takes reasonable commercial steps to ensure the completeness, accuracy and currency of information and the integrity of the Website, it does not represent or warrant that the information or facilities accessible via this Website are accurate, complete or current, or that this Website will be free of defects, including, but not limited to, viruses or other harmful elements;
(d)    Dorsett Hotels excludes every warranty or condition of any kind that might otherwise apply in relation to the Website, its content, its useability, inability to use the Website or the services offered through it; and
(e)    Dorsett Hotels is not liable for any direct, indirect, incidental, special, punitive or consequential liability, loss (including but not limited to loss of data, income, profit or opportunity, loss of or damage to property and claims of third parties, death, personal injury or any loss, damage or expense) the Customer incurs or suffer that arises out of the Customer's access to, use of or reliance on the Website or the Services or any of the content of the Website or the Customer's inability to use it.  This applies even if Dorsett Hotels has been informed that the liability, loss, damage or expense will or may result.

19.    MISCELLANEOUS 

The acceptance of these General Terms and Conditions and the Special Conditions by electronic means constitute an electronic contract between the Customer and Dorsett Hotels which is proof of the reservation of the Service and the payment of the sums due upon the execution of said reservation.

The General Terms and Conditions and the applicable Special Conditions constitute the entirety of the obligations of the parties. No other conditions communicated by the Customer may be incorporated herein. 

In the event of a contradiction between the Special Conditions and these General Terms and Conditions, the Special Conditions will prevail to the extent necessary. In case of a contradiction between these General Terms and Conditions and the general terms and conditions of a Partner, these General Terms and Conditions will prevail to the extent necessary. 

The fact that Dorsett Hotels fails to do, or delay in doing, something it is entitled to do under these General Terms and Conditions, does not amount to a waiver of any obligation of, or breach of obligation by the Customer.  A waiver by Dorsett Hotels is only effective if it is expressly given in writing.  A waiver of any provision of these General Terms and Conditions will not operate as a waiver of any other provision, or a continuing waiver of the same provision or a similar provision in the future.

A written waiver by Dorsett Hotels is only effective in relation to the particular obligation or breach in respect of which it is given and is not to be taken as an implied waiver of:

(a)    any other obligation or breach;
(b)    that obligation; or
(c)    a similar obligation or breach on any other occasion.

If one or more provisions of these General Terms and Conditions are deemed to be illegal, unenforceable or invalid or declared as such under a law, regulation or following a decision adjudicated by a competent jurisdiction that has become final, all other provisions of these General Terms and Conditions shall remain in force to their full extent. 

The Customer acknowledges and agrees that Dorsett may assign these General Terms and Conditions and all of the rights and obligations attached thereto to any third party without the prior written consent of the Customer. The Customer agrees that such assignment releases Dorsett Hotels from future obligations. The Customer may not assign these General Terms and Conditions, nor the rights and obligations attached thereto to any third parties without the prior written consent of Dorsett Hotels. 

These General Terms and Conditions and the Special Conditions represent the entire understanding and agreement between the parties relating to the subject matter herein and supersede any and all prior statements, understandings or agreements whether oral or written.

Clauses 1, 11, 12, 13, 14, 15, 18, 19 and 20 (inclusive) survive termination or expiration of these General Terms and Conditions and cessation of the Customer's use of the Website for any reason.

20.    GOVERNING LAW 

These General Terms and Conditions are governed by and will be construed in accordance with the laws of the jurisdiction in which the relevant Dorsett Hotel operates. Any dispute under these General Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of the jurisdiction in which the relevant Dorsett Hotel operates and the Customer submits to the jurisdiction of such courts for such purposes and waives any and all objections to jurisdiction or venue in such courts.

Nothing in these General Terms and Conditions affect any rights the Customer may have and which by law cannot be excluded, including under the competition and consumer laws in the jurisdiction in which the relevant Dorsett Hotel operates.
